Terms of Service

Please read these Terms of Service ("Terms") carefully before using Marzy.

Welcome, and thank you for your interest in Mulholland, Inc. ("Mulholland," "we," "us," or "our") and our mobile application Marzy, along with any related websites or services we provide (collectively, the "Service"). These Terms constitute a legally binding agreement between you and Mulholland governing your access to and use of the Service.

IMPORTANT NOTICE REGARDING DEVICE FUNCTIONALITY: Marzy is designed to interact with certain device features, including app restrictions during focus sessions, step counting, and alarm scheduling. By using the Service, you acknowledge and agree to this core functionality. Please read Section 4 carefully.

ARBITRATION NOTICE: Except for certain disputes described in Section 12, you agree that disputes arising under these Terms will be resolved through binding, individual arbitration. BY ACCEPTING THESE TERMS, YOU AND MULHOLLAND ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN ANY CLASS ACTION OR REPRESENTATIVE PROCEEDING. You may opt out of arbitration within 30 days as described in Section 12.3.

1. Service Overview

Marzy is a gamified wellness and productivity app that enables users to complete missions — structured challenges designed to encourage healthy habits such as focused work, physical activity, and consistent morning routines. The Service includes three mission types:

  • Focus Sessions: Voluntarily restrict access to selected applications on your device for a user-defined period using Apple's Screen Time / Family Controls APIs.
  • Walking Challenges: Step-based missions tracked through your device's health APIs.
  • Alarm Missions: Time-based challenges that reward consistent wake-up routines.

Users earn experience points (XP) for completing missions, which contribute to a leveling system and character progression.

THE SERVICE IS PROVIDED FOR WELLNESS AND PRODUCTIVITY PURPOSES ONLY. WE DO NOT WARRANT THAT THE SERVICE WILL IMPROVE YOUR PRODUCTIVITY, REDUCE SCREEN TIME, OR ACHIEVE ANY PARTICULAR OUTCOME.

2. Eligibility

You must be at least 18 years old to use the full Service. Users between the ages of 13 and 17 ("Minor Users") may use the Service only with the consent and supervision of a parent or legal guardian ("Guardian"). Guardians are responsible for all activity by Minor Users.

By agreeing to these Terms, you represent and warrant that: (a) you are at least 18 years old, or at least 13 years old with Guardian consent; (b) you have not previously been suspended or removed from the Service; and (c) your use of the Service complies with all applicable laws.

3. Accounts

To access certain features of the Service, you must register for an account. You agree that the information you provide is accurate and that you will keep it up to date. You are solely responsible for maintaining the confidentiality of your account credentials and for all activity under your account. If you believe your account has been compromised, notify us immediately at support@mulholland.ai.

4. Device Interaction and Assumption of Risk

By using Marzy, you acknowledge and agree to the following:

  • Intentional Restriction. Focus session missions are designed to render selected applications on your mobile device inaccessible for a user-defined period. This restriction is intentional and is a core function of the Service.
  • Emergency Access. The Service relies on Apple's Family Controls framework, which is designed to preserve access to emergency services (e.g., 911). However, system-level behavior outside Mulholland's control may affect availability. You are responsible for ensuring you have alternative means to access emergency services if required.
  • Missed Communications. Mulholland is not liable for any missed calls, messages, emails, notifications, alerts, appointments, deadlines, or opportunities that occur while focus session restrictions are active.
  • Health Data. Walking missions access your device's health data (step count) to track progress. This data is processed locally on your device. You are responsible for ensuring your device's health tracking is accurate.
  • Voluntary Use. Your use of the Service is entirely voluntary. You have chosen to engage in missions and assume all risks associated with their completion.
  • Professional Judgment. If your profession or circumstances require uninterrupted device access, you should not use focus session missions during times when such access may be needed.

5. XP, Levels, and Virtual Progression

The Service includes a gamification system where users earn XP for completing missions. XP contributes to a leveling system that tracks your overall progress. XP and levels are virtual metrics within the Service and have no monetary value. Mulholland reserves the right to modify, adjust, or reset the XP and leveling system at any time.

6. License

Subject to your compliance with these Terms, Mulholland grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Service on a device you own or control, solely for personal, non-commercial purposes. You may not reverse engineer, decompile, or attempt to circumvent any security features of the Service.

7. Prohibited Conduct

You agree not to: (a) use the Service for any illegal purpose; (b) attempt to bypass, circumvent, or exploit mission mechanics or the app restriction mechanism; (c) interfere with security features; (d) use automated means to access the Service; (e) impersonate any person or entity; (f) sell, transfer, or gift your account to any third party; (g) exploit any bug or error to gain XP or other benefits without completing missions; or (h) assist others in any of the foregoing. We may suspend or terminate accounts that violate these Terms.

8. Ownership

The Service and all Materials (interfaces, graphics, code, and content) are owned by Mulholland or its licensors and protected by intellectual property laws. These Terms grant you no rights to use Mulholland's trademarks or branding.

9. Term and Termination

Term: These Terms are effective when you accept them or first use the Service.

Termination by Mulholland: We may suspend or terminate your access at any time, with or without cause or notice.

Termination by You: You may terminate by deleting the app and contacting support@mulholland.ai to request account deletion.

Effect of Termination: Upon termination, your license ends, any XP and level progress are forfeited, any active focus session restrictions will remain until their scheduled end time, and Sections 4, 8, 9, 10, 11, 12, and 13 survive.

10. Indemnification

You agree to defend, indemnify, and hold harmless Mulholland and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including attorneys' fees) arising from your use of the Service, violation of these Terms, or violation of any third-party rights.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." MULHOLLAND DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE, OR THAT THE APP RESTRICTION MECHANISM WILL BE IMPENETRABLE.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MULHOLLAND SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE. OUR AGGREGATE LIABILITY FOR ALL CLAIMS IS LIMITED TO THE GREATER OF (A) $100 OR (B) THE AMOUNTS YOU PAID TO US IN THE SIX MONTHS PRECEDING THE CLAIM.

13. Dispute Resolution and Arbitration

12.1 Agreement to Arbitrate

You and Mulholland agree that any dispute arising from these Terms or the Service will be resolved through binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, rather than in court.

12.2 Exceptions

Either party may: (a) bring claims in small claims court if eligible; (b) seek injunctive relief in court for intellectual property infringement; or (c) pursue enforcement actions through applicable agencies.

12.3 Opt-Out

You may opt out of arbitration within 30 days of accepting these Terms by sending written notice to: Mulholland, Inc., Attn: Legal — Arbitration Opt-Out, 9062 Rosecrans Ave., Bellflower, CA 90706. Include your name, email, and a statement that you wish to opt out.

12.4 Pre-Arbitration Notice

Before filing arbitration, the complaining party must send a written Notice of Dispute by certified mail describing the claim and requested relief. The parties will attempt to resolve the dispute for 30 days before proceeding.

12.5 No Class Actions

YOU AND MULHOLLAND AGREE THAT EACH MAY BRING CLAIMS ONLY IN YOUR INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE CLAIMS OR PRESIDE OVER ANY CLASS PROCEEDING UNLESS BOTH PARTIES AGREE IN WRITING.

13. General Provisions

Governing Law: These Terms are governed by California law. Exclusive jurisdiction lies in Los Angeles County courts.

Modifications: We may modify these Terms by posting updates. Material changes take effect 30 days after posting for existing users. Continued use constitutes acceptance.

Entire Agreement: These Terms and the Privacy Policy constitute the entire agreement between you and Mulholland.

Severability: If any provision is unenforceable, the remainder stays in effect.

Assignment: You may not assign these Terms. We may assign them freely.

Waiver: Failure to enforce any provision is not a waiver of that provision.

14. Apple-Specific Terms

These Terms are between you and Mulholland only, not Apple. Apple has no obligation to provide maintenance or support. Apple is not responsible for product liability, legal compliance, or intellectual property claims related to the Service. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
